Investment Banking $80 In the constantly evolving world of finance, a solid technical foundation is an essential tool for success. Due to the fast-paced nature of this world, however, no one has been able to take the time to properly codify the lifeblood of the corporate financier’s work—namely, valuation. Rosenbaum and Pearl have responded to this need by writing the book that they wish had existed when they were trying to break into Wall Street. Investment Banking: Valuation, Leveraged Buyouts, and Mergers & Acquisitions is a highly accessible and authoritative book that focuses on the primary valuation methodologies currently used on Wall Street—comparable companies, precedent transactions, DCF, and LBO analysis. These methodologies are used to determine valuation for public and private companies within the context of M&A transactions, LBOs, IPOs, restructurings, and investment decisions. Using a step-by-step how-to approach for each methodology, the authors build a chronological knowledge base and define key terms, financial concepts, and processes throughout the book. They also provide a comprehensive overview of the fundamentals of LBOs and an organized M&A sale process. In the aftermath of the subprime mortgage crisis and ensuing credit crunch, the world of finance is returning to the fundamentals of valuation and critical due diligence. This involves the use of more realistic assumptions governing approach to risk as well as a wide range of value drivers. While valuation has always involved a great deal of “art” in addition to time-tested “science,” the artistry is perpetually evolving in accordance with market developments and conditions. In this sense, this book is particularly topical—in addition to detailing the technical fundamentals behind valuation, the authors infuse practical judgment skills and perspective to help guide the science. |

America’s Finest Companies 2010 $50 America’s Finest Companies® 2010 (now in its 19 th annual edition) is a treasure trove of information; an investment directory from Bill Staton containing the data you need to invest wisely in companies with long histories of rising annual dividends and earnings.   In May 2008, Larry Wright of The Wall Street Journal wrote, “Companies that consistently raise their dividends return the most to investors over the long pull.” This is the core idea behind the America’s Finest Companies® 2010 investment directory. Staton’s research shows that the finest companies consistently produce the highest total returns whether in good, bad or indifferent markets. For instance, through December 2008, ninety-one U.S. companies in the 2010 directory compiled world-class dividend records by paying higher dividends per share annually for the last 30 years or more. It’s a monumental achievement during these times that only the finest of the finest companies have been able to pull off. In the 2010 Edition , ten companies enjoyed the 50-year mark, or better, while 20 more companies passed the 40-year threshold. If you had purchased the same dollar amount of each of these ninety-one companies paying higher dividends per share annually for the last 30 years or more on May 1, 1999, reinvested dividends quarterly, and done no additional selling or buying, the total return of your portfolio would have been +71.22% compared to -22.19% for the S&P 500 and -5.79% for the 30 Dow industrials on April 30, 2009—10 years later. That’s a record that few money managers anywhere can match! Along with the company data, Staton offers links to every company’s website. And scattered throughout the directory, Staton also provides you with thoughtful editorial pieces covering topics such as “Dow 30,000 by 2018”, “It’s Easy to Go Broke”, “Trends Don’t Go On Forever”, “Just How Risky Is It?& |

Marketing strategies of Chinese companies $10.92 Ten or fifteen years ago global business was mainly in the hands of a select number of multinational giants. Small and medium-sized business concentrated on their home markets and perhaps one or two neighboring countries. Not so any longer. Even the smallest businesses have realized that they have something to market in distant countries. Under these circumstances, Chinese companies of all sizes in various industries have recently opened to foreign competition. According to the Chinese Commerce Ministry’s new release on relevant report, the Chinese foreign investment reached a new record of 26,51 billion US-Dollars in 2007. This represented a growth of 25,3 percent compared to 2006. After the quantity expansion, the quality offensive comes silently. Today, Chinese companies throw not only millions of T-Shirts, toys or plastic bowls in the international market but also wireless LCD-televisions, telecom-equipment and precision tools as well. Chinese companies have realized that a competitive advantage based on low costs, low prices and large quantities in a global economy cannot defend itself long. Consequently, they focus consistently on innovation and brands. In addition, China’s globalization also needs strong mental forces. China does not just want to be a world factory, but instead be an internationally competitive market place that Western competitors already are. In the involvement of Chinese companies abroad aimed at specific markets, several strategies are recognizable. German and European companies are facing new chances and challenges at the same time. People must correctly assess the situation and corporate strategies and business concepts, with which they respond effectively and sustainably. The following questions are the focus: In what areas and branches do Chinese companies concentrate in German market? Which Chinese companies go abroad? What are their market entry strategies? What are their competitive strategies? And what are the steps of C |

The Effective Tax Burden of Companies in European Regions $47.99 The tax burden on investment or companies is an important factor for the attractiveness of a country or a region. In particular, business location and investment decisions are influenced by the relative tax burdens encountered in different regions. This study presents estimates of the effective average and marginal tax rates on company investment for 143 regions in Europe and the USA. Using the approach pioneered by Michael Devereux and Rachel Griffith, it is shown that companies face a wide variation of effective tax burdens across European regions. The results are explained by analysing the importance of specific tax provisions for the tax burden at the various locations. |

It is part of OECD’s efforts to help drive the much needed policy reforms in Ukraine. The review attempts to assess the implementation of the legal rules, with an emphasis on their practical enforcement, and identifies gaps in legislation and institutional frameworks, distilling an array of policy recommendations. In addition to the legal and institutional setting specifically dealing with foreign investment issues, the review encompasses salient features of the overall business regime in Ukraine, such as legislation ensuring the rule of law, contract and property protection, corporate legislation, secured lending and financial sector legislation, taxation, public governance, including privatisation, competition and anti-corruption measures. The Investment Environment in the Russian Federation $75 After the dissolution of the Soviet Union in 1992, the Russian Federation promptly proceeded with initial economic reform measures and privatisation programmes which were largely completed by 1994. Despite the creation of a basic corporate sector, many structural reforms remained incomplete, limiting inflows of foreign investment. Following the financial crisis in 1998, Russia has been in a period of stabilisation and is now showing signs of output recovery fuelled by favourable external economic conditions. A new economic reform programme was introduced in mid-2000, promising the rationalisation of many existing state and legislative structures and the reorganisation of federal and regional powers with a view to creating a modern competitive environment in a more unified economic space. Foreign investment will be vital for Russia's economic revival and the Russian government has taken up the challenge of improving the legal and regulatory environment to attract investment inflows needed to upgrade Russia's production facilities, infrastructure and labour skills. The pace and progress of reform is being followed with considerable interest worldwide. This publication provides a timely analysis of the evolving environment for foreign investment in the Russian Federation and draws attention to problem areas affecting the investment climate such as inadequate protection of investors' contractual and property rights. A key element of the publication is a set of policy conclusions and recommendations to create a more hospitable environment for investment, both domestic and foreign. |

Taxing Insurance Companies $51 This study is part of a series of Tax Policy Studies produced by the Fiscal Affairs Division of the OECD. It examines the difficult area of applying income taxation to the life and property and casualty insurance industries. Particularly in the case of life insurance, OECD countries have pursued a variety of methods to try to tax the income arising in insurance companies. This study analyses the policy and technical problems that arise in designing an effective means of income taxation. In addition to outlining the general approaches used by OECD countries in this area, the authors have drawn upon their extensive practical experience in designing a tax system for the insurance industry in their home country. Based on this experience, they have addressed the major policy questions faced by tax policy-makers in this area and included a critical analysis of the various technical issues which arise in turning theory into practice. |

The Complete Guide to Investing in Property $12.99 Despite the current volatility in housing markets around the world, property ownership continues to be seen safer and more reliable than many other types of investment. However, property investment remains a complex business – for example, what type of investment is best for a portfolio? Has every single expense been accounted for in renovating that ‘bargain’ property? What exactly are the implications of the credit crunch and the sub-prime market for the average property investor? The Complete Guide to Investing in Property looks at all aspects of generating money from property – whether that be by renting out spare rooms to lodgers, property development, buying land, holiday rentals or becoming a landlord. Fully updated for this fourth edition, it takes a fresh look at investing in the social housing market and using property as part of a pension plan, as well as providing commentary on the latest legislative developments governing landlords and tenants. |

Industrial Property $199 Historically, industrial property has always been the poor relation in any sectoral assessment of real estate markets. A preference for owner occupation, a high degree of integration between processes and the built fabric and location in often unfashionable places have always made the sector the preserve of the specialist investor. Over the past 15-20 years, better and more rigorous analysis of performance has raised the profile of the sector in the UK. This, combined with the development of a distinct distribution sub-class has led to more mainstream investment. In particular distribution warehouses and multi-let industrial estates are in demand to the point where yields have been driven down to record lows in many industrial locations. These papers, and others like them herald a big change for industrial property it has become fashionable as a sector and an investment class. This e-book is a timely reminder of the research that underpins its position. Despite a clear European dimension to industrial real estate, most of the papers presented here are determinedly UK-focused, reflecting no doubt the absence of a decent time-series of market data in most industrial markets across the channel |

International Investment Perspectives: 2006 Edition $91 The global environment for foreign direct investment (FDI) improved in 2005. Macroeconomic growth, traditionally one of the main drivers of direct investment, gained momentum in several OECD countries. In addition, corporate profitability was generally strong, interest rates were low and equity valuation in most countries was firm so ample liquidity was available to companies wanting to invest abroad. In this benign environment, overall FDI inflows to OECD countries grew by 27 per cent to reach US$ 623 billion in 2005. At the same time, OECD economies remained strong net contributors of direct investment capital to the rest of the world. Estimated new outflows in 2005 were US$ 95 billion. The special focus of this International Investment Perspectives volume is on legal and policy issues arising from international investment agreements. The articles in this section, which were prepared for the OECD Investment Committee, investigate novel features of recent bilateral investment treaties; options for improving the system of investor-state dispute settlement; and the consolidation of claims as an avenue for improving investment arbitration. . This volume contains several more articles on topical investment issues. One takes stock of how new technologies are a force advancing the closer integration of national economies. Another reviews the challenges and opportunities for policy makers that arise from international investor participation in infrastructure. A third summarises recent evidence of source (or ”home”) country benefits of outward direct investment. The final article explains the role of the OECD peer review process in building investment policy capacity. |
